La Chapelle 100% holding Naf Naf SAS wants to turn the tide?

(hereinafter referred to as "La Chapelle") announced that the company's wholly-owned grandson company plans to invest 35.34 million euros to indirectly acquire a 60% stake in Naf Naf SAS. La Chapelle had previously completed an indirect acquisition of a 40% stake in Naf Naf SAS. With this transaction successfully completed, the company will hold 100% of its equity.

According to statistics, Naf Naf SAS was founded in France in 1973. It is mainly engaged in the sales of women's clothing products and accessories. It is one of the brands loved by young people in France. In fact, at the beginning of this year, La Chapelle has acquired the clothing brand operator Naf Naf SAS from the French clothing group Vivarte SAS through a joint consortium of its grandchildren, with a total transaction price of 52 million euros, of which La Chapelle occupies 40% of the shares, the consideration 20.8 million euros, the other two Hong Kong buyers Trendy Pioneer and Oriental Union each hold 30% of the shares, the consideration is 15.6 million euros.


La Chapelle is a well-known domestic women's clothing group established in 2011. It has a number of women's clothing brands such as La Chapelle, Puella, men's clothing brands such as JACK WALK, POTE, and 8em children's clothing brands. La Chapelle previously had a high status in urban women's casual and workplace apparel. In October 2014, she was listed on the main board of the Hong Kong stock market. It is also one of the earliest domestic enterprises that has realized capitalization. In September 2017, La Chapelle went back to the A listing, successfully listed on the Shanghai Stock Exchange and became the first domestic "A + H" apparel company.


However, in the past two or three years, under the influence of various factors, La Chapelle's performance growth has been sluggish. In the latest three quarterly reports for 2018, the performance of various indicators was not satisfactory. Data show that in the first nine months of this year La Chapelle achieved operating revenue of 6.2 billion yuan, a decrease of 0.5% year-on-year; during the period, recorded a net profit attributable to shareholders of listed companies of 239 million yuan, a decrease of 29.58% over the same period last year. The company explained in the report that the slight decrease in operating income during the period was mainly due to the decline in revenue for its women's clothing Puella and La Chapelle brands. Previously, in the 2017 annual report, La Chapelle realized operating income of 8.99 billion yuan during the period, an increase of 5.2% year-on-year, and realized a net profit attributable to the owner of the parent company of 499 million, a decrease of 6.3% year-on-year.


When La Chapelle included the 40% equity of Naf Naf SAS for the first time in April, he stated that he hopes that by investing in international apparel brands, the brand portfolio can be enriched and the company's penetration and influence in the international fashion apparel market can be increased. The transaction is conducive for the company to share resources such as fashion design and terminal channels with international brands, forming a complementarity and synergy between brands. It is expected that after the completion of the acquisition and operation reorganization, Naf Naf SAS can use the marketing channels laid by La Chapelle to expand the Chinese market faster.
